1. Agreement to these terms
These Terms of Service (the “Terms”) form a binding agreement between you (“you”, the “Customer”) and Ambigroup Services Ltd (Company No. [to be added]), a company registered in England and Wales with its registered office at [Registered office address, United Kingdom] (“Ambicast”, “we”, “us”). Ambicast is a trading name of Ambigroup Services Ltd.
They govern your access to and use of the Ambicast website at https://ambicast.tv, the application at https://app.ambicast.tv, the player software, and all related services (together, the “Service”). By creating an account, pairing a screen or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
These Terms take effect on 1 July 2026.
2. Accounts and eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation, and “you” refers to that organisation.
- You are responsible for keeping your login credentials secure and for all activity under your account.
- You must provide accurate account and billing information and keep it up to date.
- You must notify us promptly of any unauthorised use of your account.
3. Plans, trials and billing
The Service is offered on a subscription basis. Current plans and prices are shown on our pricing page and are quoted in pounds sterling (GBP) unless stated otherwise.
- Free trial: new accounts may start a 14-day free trial with no payment due at sign-up. Unless you cancel before the trial ends, your subscription begins and the applicable fee is charged.
- Renewal: subscriptions renew automatically each billing period (monthly or annually) until cancelled.
- Screen-based pricing: plans include a set number of screens; additional screens are billed at the rate shown on the pricing page.
- Taxes: fees are exclusive of VAT and other taxes, which are added where applicable.
- Payment: billing is handled by our payment processor, Stripe. You authorise us to charge your payment method for all fees due.
We may change our fees on renewal by giving you reasonable prior notice. Your continued use after a price change takes effect constitutes acceptance. Cancellation and refunds are covered in our Refund & Cancellation Policy.
4. Your right to use the Service
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own business or personal purposes for the duration of your subscription. We reserve all rights not expressly granted.
5. Your content
“Customer Content” means any images, video, text, data feeds and other material you upload, create or publish through the Service. You retain all ownership of your Customer Content.
You grant us a worldwide, non-exclusive licence to host, store, reproduce, transmit and display Customer Content solely to operate and provide the Service (for example, delivering your content to your paired screens). You are responsible for your Customer Content and for ensuring you have all rights and permissions needed to use it, including any third-party fonts, images, music or trademarks.
Your use of the Service must comply with our Acceptable Use Policy.
6. Our intellectual property
The Service, including its software, design, templates, branding and documentation, is owned by us or our licensors and is protected by intellectual-property laws. Except for the rights expressly granted to you, nothing in these Terms transfers any ownership to you. You may not copy, modify, reverse-engineer, resell or create derivative works from the Service except as permitted by law.
7. Availability and changes
We work to keep the Service available and reliable, and where we offer a service-level commitment it is set out in our Service Level Agreement. We may modify, suspend or discontinue features from time to time. We may also perform maintenance that temporarily affects availability, and will aim to give notice of planned maintenance where practical.
8. Third-party services and hardware
The Service can connect to third-party services (such as data feeds) and runs on third-party hardware and platforms (such as Fire TV, Android TV and web browsers) that we do not control. We are not responsible for third-party services or devices, and your use of them may be subject to their own terms.
9. Suspension and termination
You may cancel your subscription at any time as described in the Refund & Cancellation Policy. We may suspend or terminate your access if you materially breach these Terms (including non-payment or breach of the Acceptable Use Policy), if required by law, or to protect the Service or other users.
On termination, your right to use the Service ends. We will make your Customer Content available for export for a reasonable period and then delete it in line with our Privacy Policy, unless we are required to retain it.
10. Disclaimers
Except as expressly stated in these Terms, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, to the fullest extent permitted by law. Full disclaimer language is set out in our Disclaimer. Nothing in these Terms excludes rights you have as a consumer that cannot be excluded under applicable law.
11. Limitation of liability
Nothing in these Terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, or for fraud.
Subject to that, and to the fullest extent permitted by law: we are not liable for loss of profits, revenue, goodwill, or for indirect or consequential loss; and our total aggregate liability arising out of or in connection with the Service in any 12-month period is limited to the total fees you paid to us for the Service in that period.
12. Indemnity
You agree to indemnify and hold us harmless from claims, damages and reasonable costs arising from your Customer Content or your breach of these Terms or applicable law, except to the extent caused by us.
13. Governing law and disputes
These Terms and any dispute arising out of them are governed by the laws of England and Wales, and you and we submit to the exclusive jurisdiction of the courts of England and Wales.
14. Changes to these terms
We may update these Terms from time to time. If we make material changes we will notify registered users by email or in-app notice. Changes take effect when posted (or on the date stated), and your continued use of the Service constitutes acceptance.
